Fuar Merkezi / Yeşilköy’de 13-15 Ekim 2016 tarihlerinde düzenlenecek
olan CeBIT Bilişim Eurasia Uluslararası Bilgi ve İletişim Teknolojileri,
Telekomünikasyon, Yazılım, Uydu İletişimi, Yayıncılık, Kablo,
TV ve Haberleşme Sektörü Fuarı’nın Katılım Sözleşmesini (Ekli
A1+A2+A3+A4+A5+A6 formunu) okuduk ve kabul ediyoruz.

APPLICATION FORM
1. TARAFLAR Bir tarafta Hannover Fairs Turkey Fuarcılık A.Ş. (“ORGANİZATÖR” olarak anılacaktır) bu sözleşmenin A1 ve A2
eklerinde tam ismi/ünvanı ve adresi yazılı Katılımcı Şirket (“MÜŞTERİ” olarak anılacaktır) arasında 13-15 Ekim 2016 tarihlerinde
gerçekleştirilecek olan CeBIT Bilişim Eurasia Uluslararası Bilgi ve İletişim Teknolojileri, Telekomünikasyon, Yazılım, Uydu
İletişimi, Yayıncılık, Kablo, TV ve Haberleşme Sektörü Fuarı’na (“FUAR” olarak anılacaktır) katılımı konusunda iş bu sözleşmede
(“Sözleşme” olarak anılacaktır) yazılı hüküm ve koşullarda anlaşmışlardır. Katılım Sözleşmesini imzalayan MÜŞTERİ aşağıda
yazılı tüm katılım koşullarını aynen kabul etmiştir.
Bu sözleşmeyi imzalayan, şirket adına sözleşme imzalamaya ve şirketi temsil ve ilzama yetkisi bulunduğunu taahhüt eder.
2. FUAR ALANINA YERLEŞME:
2.1. Giriş: Standlarını kendileri yapacak MÜŞTERİ’ler FUAR alanına 10 Ekim 2016 Pazartesi günü saat 13:00’den itibaren, standları
ORGANİZATÖR tarafından yapılacak MÜŞTERİ’ler ise 12 Ekim 2016 günü saat 15:00’den itibaren FUAR alanına girebilirler.
2.2. Stand Kurulumu: Stand kurulum işleri en geç 12 Ekim 2016 saat 20:00’a kadar bitirilmesi mecburidir. Bu süre sonunda
işlerini bitirmeyen şirketlere ORGANİZATÖR’ün müdahale etme ve çalışmayı durdurma yetkisi vardır. 12 Ekim 2016 Saat 09:00
itibari ile salonlara araç girişine izin verilmeyecektir.Koridorlara halı kapladıktan sonra salonlarda palet (çekçek), forklift, el
arabası gibi koridor halısına zarar verecek taşıyıcılar kullanılamaz.
2.3. Stand Malzemeleri: FUAR alanına kurulum için (10 Ekim 2016 saat 13:00’den, 12 Ekim 2016 saat 20:00’a kadar) getirilecek
konstrüksiyon malzemeleri yarı mamul halinde (atölyede kesilmiş, boyanmış, gerekli boyutlar verilmiş) ve montaja başlanabilir
koşulda olmalıdır. FUAR alanı atölye amaçlı kullanılmaz, kompresör boya, alçıpan kullanımı kesinlikle yasaktır.
2.4. Stand Projeleri: MÜŞTERİ’nin stand ve stand dekorasyon projelerini, proje boyutlarının sergi düzenine uygunluğunu ve
statik projelerini fuarın bütünsel görünümü ve standartları açısından 10 Ekim 2016 tarihine kadar ORGANİZATÖR’e onaylatması
zorunludur. Stand projeleri ölçülendirilmiş, ölçekli, 3 boyutlu olarak onaya sunulmalıdır. ORGANİZATÖR projeleri onaylayıp
onaylamama hakkına sahiptir. Proje onayına sahip olmayan MÜŞTERİ’lerin fuar alanına stand kurmak için mal ve malzeme
girişi yapmalarına izin verilmeyecektir. Onaysız projelere ORGANİZATÖR’ün müdahale etme, durdurma ve yıkma hakkı
vardır. Komşu standlarla konstrüksiyonlara ilişkin uyuşmazlığını engellemek için komşu katılımcılar ile temasa geçilmelidir.
Belirtilen konstrüksiyon/yapı standartlarında kalmak koşuluyla da olsa komşu standların yükseklik farkından dolayı doğacak
uyuşmazlıklardan ORGANİZATÖR sorumlu değildir. Standı, komşu standa göre daha yüksek olan katılımcı, komşu standa
bakan yükseltisini beyaz renkli, temiz ve düzgün bir kaplamayla kapatmak zorundadır. Stand alanı içindeki bina kolonlarında
ve zemindeki tesisat
2.5. Stand Kurulum Giderleri: Stand yapımı ve stand içi dekorasyon MÜŞTERİ tarafından tüm harcamaları kendisine ait olmak
üzere yapılır.
2.6. Stand Alanı ve Sınırı: Standlar koridor alanına kesinlikle taşamaz, standların herhangi bir noktasının izdüşümü koridor
alanına taşamaz. Aykırılık halinde ORGANİZATÖR’ün eski hale veya uygun hale getirme, taşmayı ortadan kaldırma hakkı vardır.
Bu işlemler sırasında ortaya çıkan masraflar kural ihlaline neden olan MÜŞTERİ’ye faturalanacaktır. MÜŞTERİ söz konusu
masrafları ödemeyi peşinen kabul eder.
2.7. Kuruluma Dair Bilgilendirme: MÜŞTERİ, stand kurulumu için çalışacakları ses düzeni şirketlerini, mimarlık şirketlerini
ve söz konusu şirketlerin yetkili kişilerinin isim ve telefonlarını en geç proje onayı aşamasında ORGANİZATÖR’e bildirmek
zorundadır. Fuar alanına zarar vermek, zemini veya duvarları delmek, stand panolarına çivi çakmak, delmek gibi hasar verici
işlemler yapmak, salon sutünlarına kaynak yapmak ve salon duvarlarını kirletmek yasaktır. MÜŞTERİ, stand alanı içerisinde ve
fuar alanında meydana getirebileceği hasraları ayrıca bir tespit, ihtar ve ihbara gerek kalmaksızın ORGANİZATÖR’ün kendisine
bildirdiği rakam üzerinden ödemekle yükümlüdür.
2.8. Standa Dair Teknik Koşullar: MÜŞTERİ’nin aşağıda belirtilen teknik koşullara uyması zorunludur. Aksi takdirde
ORGANİZATÖR müdahale hakkını kullanacaktır.
a. Stand yükseklikleri salonlara göre değişmektedir. Salon 9: 5m Salon 10: 5m Salon 11: 3.5 m ve planlarda yer aldığı gibi
ORGANİZATÖR’ün iznine tabidir.
b. Yükseklik ile ilgili problemlerin yaşanmaması için stand projelerinin ORGANİZATÖR’e onaylatılması gerekmektedir. Onaysız
projelere ORGANİZATÖR’ün her aşamada her türlü müdahale hakkı vardır.
c. Ziyaretçilerin tüm standları rahatça gezebilmeleri için, özel dekor kuracak firmalar standlarında koridor sınırındaki her
cepheyi maksimum %30 oranında kapatılabilir. Bu durumda standın koridorlara bakan her cephesinin %70 oranında açık olması
zorunludur. Koridora bakan her bir cephenin %30’dan fazla kapatılması durumunda, koridoru cepheleyen stand duvarlarının
en az %70 şeffaf olması (cam, tül, plastik vb. gibi malzemeler) gerekmektedir. Standın koridor tarafındaki duvarları, koridor
çizgisinde mesafe bırakılmaksızın yükselmesi durumunda (max. 5m.)da yukarıda belirtilen %70 şeffaflık kuralı geçerlidir.
3. FUAR KATILIM KOŞULLARI
3.1. Yerleşim Planı: ORGANİZATÖR, FUAR alanları için çizilmiş bulunan genel yerleşim projelerini değiştirme hakkına
sahiptir. ORGANİZATÖR, FUAR alanında genel yerleşimde gerek gördüğü her türlü değişikliği yapabilir. Yerleşim projelerinin
değiştirilmesinde ORGANİZATÖR, MÜŞTERİ’ye değişikliği ve belirlenen yeni yeri bildirmek durumundadır. Bu türden değişiklikler
MÜŞTERİ için fesih sebebi ve/veya fuar katılım ücretinde indirim veya zarar ziyan vb. nam altındas tazminat talep etme ve/
veya Fuar katılım bedelini ödememe hakkı vermez. MÜŞTERİ’nin yer değişikliği veya FUAR’dan çıkma kararı ORGANİZATÖR ve
MÜŞTERİ arasında hukuki sonuç doğurur. Bu sebeple ORGANİZATÖR’ün diğer MÜŞTERİ’lere ya da katılımcılara karşı herhangi/
aynı taahhütte bulunduğu ya da bir sorumluluk üstlendiği anlamına gelmez. ORGANİZATÖR, belirli bir stand alanının
konumlandırılması için özel talepleri yerine getirmekle mükellef değildir. ORGANİZATÖR, beklenmedik koşullar dolayısıyla
gerekli olması şartıyla, farklı bir konumlandırma yaparak stand yerini ve/veya stand boyutunu değiştirme ya da Fuar Alanı’na
ve salonlara giriş yerlerinde değişiklik yapma ve/veya kapatma, açma, menfaate olan ve özel durumların bir sonucu olarak
alınması gereken önlemlere ilişkin veya Fuar yeri malikinin/işletmecisinin taleplerine uygun olarak her türlü değişiklikleri
yapma hakkını saklı tutar. MÜŞTERİ, ORGANİZATÖR tarafından yapılabilecek bu düzenlemelere itiraz hakkı olmadığını kabul
ve taahhüt etmiştir.
3.2. Fuarın Sona Ermesi-Çıkış: Standları boşaltma işlemi 15 Ekim 2016 Cumartesi günü saat 18:00’den, 16 Ekim 2016 Cumartesi
günü saat 10:00’a kadar yapılır. Verilen zaman içinde FUAR alanını boşaltmamış MÜŞTERİ malzemeleri önceden herhangi bir
uyarıya gerek kalmaksızın bizzat ORGANİZATÖR veya görevlendireceği kişiler tarafından alan dışına çıkarılır. ORGANİZATÖR’ün
alan dışına çıkartılan malzemeyi koruma ve kollama yükümlülüğü yoktur. Bu esnada oluşacak masraf, hasar ve kaybın
sorumluluğu MÜŞTERİ’ye aittir. MÜŞTERİ, standı öngörülen tarih ve saate kadar boşaltmama ya da standın tahliyesi ile
malzemelerin alan dışına çıkartılmasıyla ilgili ORGANİZATÖR tarafından yapılan her türlü masraftan bizzat sorumludur.
3.3. Standın Kullanımı: MÜŞTERİ, sergileyecekleri mal ve hizmetleri sadece kendisine ayrılan alan içinde sergileyebilir. MÜŞTERİ
kendisine verilen alanı herhangi bir hasara uğratmadan kullanacaktır. Duvar, duvar panoları ve alüminyum malzemelere çivi
çakmak, delik açmak, hasar verici işlemler yapmak, çift taraflı bant dışında yapıştırıcı malzeme kullanmak, boyamak, zeminde
herhangi bir zarar meydana getirmek yasaktır. MÜŞTERİ, stand alanı içerisinde ve fuar alanında meydana getirebileceği
hasraları ayrıca bir tespit, ihtar ve ihbara gerek kalmaksızın ORGANİZATÖR’ün kendisine bildirdiği rakam üzerinden ödemekle
yükümlüdür.
ORGANİZATÖR’ün, hasar tazmin edilmeden MÜŞTERİ’nin FUAR alanından çıkışını engelleme hakkı vardır. MÜŞTERİ’ nin şirket
ürünleri sayfasında belirtilen/ürün ya da hizmet pörtföyünde yer almayan ürünleri sergilenmesi durumunda, ORGANİZATÖR’ün
söz konusu ürünleri FUAR alanı dışına çıkarma hakkı vardır.
3.4. Ürün Satışı ve Broşür Dağıtımı: FUAR süresince, sektörel yayınların abonelik satışları haricinde, FUAR’da ürün teslim
edilerek satış yapılması yasaktır. Bu şekilde satış yapılması halinde ORGANİZATÖR standı kapatma yetkisine sahiptir. Stand
kapatıldığında MÜŞTERİ hiçbir ücret, gider ve zarar ziyan talep edemeyeceği gibi standın kapatma işlemleri sırasında oluşacak
her türlü masraf MÜŞTERİ’ye aittir. Broşür dağıtımı için stand alanınız haricinde başka bir alan kullanımı yasaktır. FUAR alanı
dâhilinde patenle dolaşmak kesinlikle yasaktır. ORGANİZATÖR’den izin almak kaydıyla fuar dışında paten kullanılabilir.
3.5. Görsel- İşitsel Unsurların Kullanımı: FUAR alanında ve standda yapılacak audio - visual (görsel - işitsel) gösteri nedeni
ile gelecek ziyaretçilerin FUAR koridorlarında ve komşu standlarda izdihama yol açmaması gerekmektedir. Aksi durumlarda
ORGANİZATÖR görevlileri gösteriye müdahale edecekler, gerekirse gösteriyi durduracaklardır. Görsel- işitsel bir gösteri
yapılacak ise bu gösterinin detayları ORGANİZATÖR’e yazılı olarak bildirilmelidir. Stand dâhilinde hoparlör kullanılacak ise bu
hoparlörlerden çıkan sesin standın içine dağılacak şekilde yerleştirilmesi gerekmektedir. Hoparlörler standın içine bakacaktır.
Bu olmadığı takdirde ORGANİZATÖR görevlilerinin hoparlörleri stand içine çevirme ya da etkinliği durdurma ve iptal etme
hakkı vardır. Görsel bir gösteri yapılacak ise bu gösterinin yansıması stand alanının dışına taşamaz. Aksi halde ORGANİZATÖR
görevlilerinin gösteriye müdahale hakkı vardır. Stand sınırından 1m. Uzaklıkta ses düzeyinin 85 dB’yi aşması durumunda,
ORGANİZATÖR görevlileri MÜŞTERİ’yi önce uyaracak ve sesi 85 dB’nin altına çekecektir. Uyarılar sonuç vermez ise ORGANİZATÖR
görevlilerinin etkinliğe müdahale, MÜŞTERİ’ye sağlanan stand elektriğini süreli ya da tümden kapatma hakkı vardır. İş Dünyası
Salonlarda (Salon 4 ve 8) hoparlör veya ses yükseltici ekipman kullanmak kesinlikle yasaktır. Sözkonusu ekipmanların fuar alanı
dışına çıkarılmaması durumunda stand elektriği kesilir ve bir daha verilmez. Stand Alanı ve/veya Fuar alanı genel elektriğinin
kesilmesi nedeniyle yaşanacak hasarlardan ORGANİZATÖR sorumlu değildir.
3.6. Yayın Hakkı: Açık ve kapalı fuar alanı içinden her türlü sesli ve görsel yayın hakkı (radyo, TV...vs.) münhasıran ORGANİZATÖR’e
aittir. Yayın için izin alınması şarttır. İzinsiz yayın halinde yayın araçları fuar alanına sokulmaz.
3.7. Fikri ve Sinai Haklar: Standlarda sergilenen tüm fikri ve sınai hak konusu ürünlerin (ve yazılımların) lisanslı ve telif hakkı
sahibi veya kullanma hakkı olduğu kabul edilir. MÜŞTERİ’nin üçüncü bir şahsın Fikri veya Sinai Mülkiyet Hakkını ihlal etmesi
halinde bunun tüm sonuçlarından kendisi sorumludur. Bu Sözleşme veya Fuara katılım, ORGANİZATÖR ve diğer üçüncü
şahısların Fikri Mülkiyet Hakları üzerinde bir hak bahşetmez.
3.8. Sigorta: ORGANİZATÖR’ün fuar süresince karşılaşılabilecek risklere karşı bir sigorta güvencesi yoktur. MÜŞTERİ’lere kendi
fuar faaliyetleriyle ilgili her türlü riske karşı bir “all risk” sigortası yaptırması öneriliri. Bu sigortayı yaptırmamanın sonuçlarından
MÜŞTERİ kendisi sorumlu olur. . Kaybolan, çalınan, herhangi bir şekilde zayi olan veya hasarlanan stand malzemesi ya da
sergilenen ya da kullanılan mallar veya üçüncü şahıs fiilleri dahil, ORGANİZATÖR fuarda ortaya çıkacak risklerle ilgili hiçbir
sorumluluk kabul etmemektedir. MÜŞTERİ rücuen dahi olsa ORGANİZATÖR’den bir talepte bulunamaz.
3.9. Fuar Giriş Kartı: ORGANİZATÖR, MÜŞTERİ’ye ücretsiz Fuar Giriş Kartı verecektir. Müşterilerimize özel verilen Fuar Giriş
kartlarının satışı kesinlikle yasaktır.
3.10. Stand Görevlileri: MÜŞTERİ’ye tahsis edilen standın her 2m2’si için kişiye özel 1 adet stand görevlisi kartı verilecektir.
ORGANİZATÖR Katılımcıların yaka kartlarını 14.12.2015 tarihinde fuar alanında bulunan organizasyon ofisinden temin etmeleri
gerekmektedir. Söz konusu kartlar haricinde fuara “Katılımcı” sıfatıyla giriş imkânı yoktur. Stand görevlisi kartı sadece fuar
yetkilisine ve imza karşılığı teslim edilir. Yaka kartı kontrolünde ORGANİZATÖR’ün kimlik sorma hakkı vardır. Yaka kartı ile kimlik
bilgilerinin tutmaması durumunda ORGANİZATÖR söz konusu yaka kartını iptal etme ve yaka kartına el koyma hakkına sahiptir.
MÜŞTERİ dışarıdan alacağı hizmetler için (stand tasarım,uygulama,temizlik,güvenlik, vb. hizmetleri dahil ancak bunlarla
sınırlı olmamak kaydıyla), hizmeti verecek firmanın ilgili kurum ve kuruluşlardan izin alarak gerekli belgeleri tamamlayacağını
kabul ve taahhüt eder. İzinlerin alınmamış olmasından ya da belgelerin eksik olmasından ORGANİZATÖR’ÜN sorumluluğu
bulunmamaktadır.
3.11. Fuar Süresi: Fuar 13-15.10.2016 tarihleri süresince açıktır. Fuar saatleri: 10:30 - 18:30’dur. Pazar günü kapanış saati 18:00’dir.
Katılımcılar fuar alanına en erken fuar başlangıcından 1 saat önce girebilir, fuar alanından en geç yarım saat içinde çıkılması
gerekmektedir.
3.12. Mal Giriş-Çıkışı: FUARIN açık olduğu saatler içerisinde ORGANİZATÖR’den izin alınmaksızın hiçbir şekilde mal girişi ve çıkışı

1.THE PARTIES Hannover Fairs Turkey Fuarcılık A.Ş. (shall be hereinafter referred to as the “ORGANIZER”), on one side, and the
Participating Company, whose full name/business name and address are provided in annexes A1 and A2 to this Agreement,
(shall be hereinafter referred to as the “CUSTOMER”) have agreed on participation to the CeBIT Bilişim Eurasia International
Information Technology, Telecommunications, Software & Services, Satellite Communication, Broadcasting, TV and
Communication Content Fair to be organized on 13th - 15th October 2016 (shall be hereinafter referred to as the “FAIR”) under
the terms and conditions given in this Agreement (shall be hereinafter referred to as the “Agreement”). Having signed the
Agreement of Participation, the CUSTOMER has duly agreed with all the terms of participation as provided herein.The signatory
of this Agreement hereby undertakes that he is authorized to sign agreements on behalf of the company and to represent and
bind the company
2.LAYOUT IN THE FAIR AREA:
2.1. Entry: The CUSTOMERS, who will construct their own booths, may enter the FAIR area as of 13:00 hours on Monday,
October 10, 2016 and the CUSTOMERS, whose booths will be constructed by the ORGANIZER, may enter the FAIR area as of
15:00 hours on October 12, 2016.
2.2. Booth Setup: Booth setup works should be completed by 20:00 on October 12, 2016 at the latest. The ORGANIZER is
authorized to intervene in and suspend the works of the companies that fail to complete their works by then. Vehicle entry
shall not be allowed to the halls as of 09:00 on October 12, 2016. Once corridor carpet is laid, use of carriers such as pallet (cart),
forklift and wheelbarrow, which may damage the corridor carpet, is not allowed.
2.3. Booth Materials: The construction materials to be dispatched to the FAIR area for setup (starting from 13:00 on October
12, 2016 until 20:00 on October 10, 2016) should be semi-finished (cut, painted and given the necessary dimensions in the
workshop) and should allow setup to be started instantly. The FAIR area may not be used for workshop purposes, and the use
of compressor paint and plasterboard is absolutely prohibited.
2.4. Booth Projects: The CUSTOMER has to have the booth and booth decoration projects approved by the ORGANIZER by
not later than October 10, 2016 in terms of compliance of project dimensions with the order of the exhibition and integral
appearance and standards of the static projects. Booth projects should be submitted to approval in a scaled manner and in
3D. The ORGANIZER is free to approve or not to approve the projects. The CUSTOMERS, who do not have project approvals,
shall not be allowed to dispatch goods and materials to the fair area to set up a booth. The ORGANIZER is entitled to intervene
in, suspend and demolish unapproved projects. The neighboring participants should be contacted with in order to avoid any
dispute with them relating to constructions. The ORGANIZER is not responsible for any disputes to arise out of the difference
in height of the neighboring booths, even if any such booth remains within the specified construction/building standards. The
participant, whose booth is higher as compared to the neighboring booth, is to cover the altitude facing the neighboring booth
with a clean and smooth cover in color white. The points of columns of the building and on installation points on the floor
within the booth area, which should be left open, should be left open in an accessible manner.
2.5. Booth Setup Costs: Booth setup and decoration shall be made by the CUSTOMER at his own expense.
2.6. Booth Area and Boundaries: The booths are absolutely not allowed to protrude into the corridor zone. In case of a deviation,
the ORGANIZER is entitled to restore to the former condition or to tailor in order to eliminate protruding. Any expenses to arise
during such actions shall be invoiced to the CUSTOMER causing the violation of the rule. The CUSTOMER agrees in advance to
pay any such charges.
2.7. Information Regarding Setup: The CUSTOMER shall inform the ORGANIZER about the sound system companies and
architecture companies, with whom they will work for booth setup, as well as the names and telephones of the authorized
officials of such companies by not later than the stage of project approval. It is forbidden to damage the fair area, to drill the
ground or walls, to nail booth panels and to perform damaging actions such as drilling, to weld the columns of the hall and to
pollute the walls of the hall. The CUSTOMER is obliged to pay any damages that the CUSTOMER may cause within the booth
zone and the fair area by the amount as communicated by the ORGANIZER to the CUSTOMER with no need for any further
survey, notice and warning.
2.8. Technical Conditions Regarding the Booth: The CUSTOMER has to observe the technical conditions provided herein.
Otherwise, the ORGANIZER shall exercise his right to intervene.
a. Booth heights vary depending on the hall. Hall 9: 5 m Hall 10: 5 m Hall 11: 3.5 and subject to the authorization of the
ORGANIZER as given in the attached plans.
b. The booth projects should be submitted to the ORGANIZER in order to avoid any problems relating to height. The ORGANIZER
is entitled to intervene in unapproved projects at any stage and in any manner whatsoever.
c. In order for the visitors to visit all booths comfortably, the firms to create special setting may occupy maximum 30% of each
facade of their booths with a boundary to the corridor. In this case, it is mandatory that each facade of the booth facing the
corridors should be clear by 70%. If any facade facing the corridor is occupied by more than 30%, then the booth walls facing
the corridor should be transparent by minimum 70% (materials such as glass, net, plastic, etc.). If the walls of the booth facing
the corridor rise without any distance to the corridor line (max. 5 m), the abovementioned rule of unoccupied area by 70%
shall apply
3.CONDITIONS FOR FAIR PARTICIPATION
3.1. Layout: The ORGANIZER is entitled to change the general layout projects issued for the FAIR areas. The ORGANIZER may
make any changes to the general layout in the FAIR area as considered necessary by the ORGANIZER. In changing the layout
projects, the ORGANIZER shall inform the CUSTOMER about the change and the new location determined. Such changes
do not constitute grounds for termination for the CUSTOMER and/or do not entitle the CUSTOMER to claim discount in fair
participation fees or any indemnification due to damages and losses, etc. and/or not to pay the fair participation fee. The
decision of the CUSTOMER to change location or not to participate in the FAIR at all results in legal consequences between
the ORGANIZER and the CUSTOMER. Therefore, it is not implied that the ORGANIZER makes any/the same commitment to
other customers or participants or assumes any responsibility. The ORGANIZER is not obliged to meet special demands for the
positioning of a specific booth area. The ORGANIZER reserves the right to change the booth’s location and/or dimension or to
make changes to and/or close, open the Fair Area or the halls and to make any changes relating to the measures as beneficial
that should be taken as a result of special circumstances or in accordance with the demands of the owner/operator of the Fair
area, provided that the same is necessary due to unexpected conditions. The CUSTOMER hereby agrees and undertakes not to
be entitled to object to such arrangements as may be provided by the ORGANIZER
3.2. End of the Fair and Exit: The booths shall be evacuated from 06:00 pm on Saturday, October 15, 2016 to 10:00 am on Sunday,
October 16, 2016. The materials of the CUSTOMER, who fails to evacuate the FAIR area within the given time period, shall be
removed from the area by the ORGANIZER in person or by those to be designated by the ORGANIZER with no need for any prior
warning. The ORGANIZER is not liable to protect and safeguard the materials removed from the area. The responsibility to arise
due to any expenses, damages and losses to arise during such time shall belong to the CUSTOMER. The CUSTOMER is actually
responsible for any expenses to be incurred by the ORGANIZER due to the failure to vacate the booth by the specified date and
time or due to evacuation of the booth and removal of the materials from the area.Clause 4 -Force Majeure
3.3. Use of the booth: The CUSTOMER may exhibit goods and services that he will exhibit only within the area designated
to the CUSTOMER. The CUSTOMER shall make use of the area reserved to the CUSTOMER without causing any damage. It
is forbidden to nail and drill walls, wall panels and aluminum materials, to perform damaging actions, to use any adhesives
other than double sided tape, to apply paint and to cause any damages to the floor. The CUSTOMER is liable to pay any
damages that the CUSTOMER may cause within the booth zone and the fair area by the amount as communicated by the
ORGANIZER to the CUSTOMER with no need for any further survey, notice and warning. The ORGANIZER is entitled to prevent
exit of the CUSTOMER from the FAIR area unless the damages are indemnified. If the CUSTOMER exhibits products not given
in the company’s products page or in the company’s service portfolio, then the ORGANIZER is entitled to remove such products
outside the FAIR area.
3.4. Product Sales and Handing Out Brochures: Throughout the FAIR time, it is forbidden to deliver and sell products at the
FAIR other than selling sector publications to the subscribers. In case of such sale, the ORGANIZER is entitled to close down the
booth. When the booth is closed down, the CUSTOMER may not demand any fees, expenses and damages and losses and any
charges to occur during closing of the booth shall be payable by the CUSTOMER. It is forbidden to use any area other than your
booth area for handing out brochures. It is absolutely forbidden to walk around the FAIR area on roller skates. Roller skates may
be used outside the FAIR, provided that permission will be obtained from the ORGANIZER.
3.5. Use of Audio-Visual Elements: The visitors to come for any audio-visual shows to take place at the FAIR area and at the
booth should not cause overcrowding at the FAIR corridors and neighboring booths. Otherwise, the officials of the ORGANIZER
shall intervene in the show and suspend the show if necessary. If an audio-visual show is to take place, the details of such show
should be communicated to the ORGANIZER in writing. If loudspeakers are to be used within the booth, such loudspeakers
should be placed so that the sound will be dispersed within the booth. The loudspeakers shall face inside the booth. Otherwise,
the ORGANIZER is entitled to position the loudspeakers in a manner to face inside the booth or suspend or cancel the event.
If a visual show is to take place, then such show may not be reflected outside the booth area. Otherwise, the officials of the
ORGANIZER are entitled to intervene in the show. If the volume exceeds 85 dB 1 m to the booth territory, then the officials of
the ORGANIZER shall first warn the CUSTOMER to keep the volume below 85 dB. If the warnings fail, then the officials of the
ORGANIZER are entitled to intervene in the event and to turn off the booth power provided to the CUSTOMER for a certain
period or permanently. It is absolutely forbidden to use speakers or megaphones in Business World Halls (Halls 4 and 8). If
such equipment is not removed outside the fair area, then the booth power shall be cut and shall not be provided again. The
ORGANIZER is not responsible for any damages to be experienced due to power failure in the Booth Area and/or a general
power failure in the Fair Area
3.6. Broadcasting Rights: The rights relating to any audio and visual broadcasts (radio, TV, etc.) from open and enclosed fair
area are solely belong to the ORGANIZER. It is mandatory to receive authorization for broadcasting. In case of any unauthorized
broadcasting, then the broadcast vehicles shall not be allowed to the fair area.
3.7. Intellectual and Industrial Rights: It is assumed that the CUSTOMER is licensed for and owner of the copyrights of, or
is authorized to use, any products subject to intellectual and industrial rights exhibited in the booths (and software). If the
CUSTOMER infringes any Intellectual and Industrial Rights of any third party, then the CUSTOMER is responsible for any
consequences thereof. This Agreement or participation in the Fair does not grant the ORGANIZER or any other third persons
any rights over Intellectual Property Rights.
3.8. Insurance: The ORGANIZER has no insurance coverage against any risks that may occur throughout the fair. The customers
are recommended to take out their own “all risk” insurance policies for their own fair activities. The CUSTOMER shall be
responsible for any consequences of the failure to take out such policy insurance. The ORGANIZER does not assume any
responsibility relating to any risks that may arise during the fair, including loss, theft or destruction of, or damage to, any booth
materials or any goods exhibited or used in any manner whatsoever, or any actions of third parties. The CUSTOMER may not
have any claim against the ORGANIZER even if through recourse.
3.9. Fair Entry Card: The ORGANIZER shall provide the CUSTOMER with a free Fair Entry Card. It is strictly prohibited to sell the
Fair Entry Cards provided exclusively to our customers.
3.10. Booth Officials: 1 personal booth official card shall be provided for every 2 square meters of the booth designated to the
CUSTOMER. The participants are to receive the name tags from the ORGANIZER from the organization office located at the
fair area on 14.12.2015. It is impossible to enter the fair as a “Participant” except by using such tags. The booth official card is
delivered to the fair official only and in return for a signature. The ORGANIZER is entitled to ask for identification when checking
name tags. If information provided in the name tag and identification document does not match, then the ORGANIZER is
entitled to cancel and to confiscate such name tag. For the outsourced services (including but not limited to booth design,
application, cleaning, security and other services), the CUSTOMER hereby agrees and undertakes that the firm that will provide
the service will receive authorization from the relevant organizations and institutions and will complement the necessary
documentation. The ORGANIZER has no responsibility for not obtaining the authorizations or not completing the documents.
3.11. Fair Period: The fair is open between the dates of 13 and 15.10.2016. The fair hours are between 10:30 am and 06:30 pm. The
time for closing on Sunday is 06:00 pm. The participants may enter the fair area by 1 hour in advance of the fair’’s start at the
earliest and it is necessary to evacuate the fair area within not later than half an hour

3.13. Elektrik Kullanımı: MÜŞTERİ, FUAR süresince kullanılacağı elektrik gücünün kaç kW olduğunu, “Online Bilgi Sistemi” ile
ORGANİZATÖR’e bildirmekle yükümlüdür. Ziyaretçi çıkış saatlerinden yarım saat sonra stand elektriği kesilir. Bu saatten sonra
çalışma yapmak isteyenler ORGANİZATÖR’den izin almalıdır. Elektrik kesintilerinden dolayı oluşan hasarlardan ORGANİZATÖR
sorumlu değildir. FUARIN son günü FUAR kapanış saatinden yarım saat sonra, güvenlik nedeniyle, genel elektrik kesintisi yapılır.
Kullanacak 1 kW elektrik enerjisinin MÜŞTERİ’ye maliyeti 30 Euro + VAT ‘tır’dir. Bu fiyata, elektrik kablolarının standa tahsisi ve
harcanan enerji bedeli dâhildir
3.14. Kokteyl ve Benzeri Etkinlik Düzenleme: FUAR süresince FUAR alanında kokteyl, ikram hizmetleri gibi hizmetler fuar
alanının resmi catering şirketi tarafından karşılanır. Aksi halde ORGANİZATÖR bu hizmetleri verdirip verdirmeme hakkına
sahiptir.
3.15. Yanıcı-Patlayıcı Malzeme Kullanımı: LPG, kaynak tüpü, reklam balonları ve benzeri yanıcı ve patlayıcı maddelerin FUAR
alanına getirilmesi ve kullanılması kesinlikle yasaktır. Aksi takdirde ORGANİZATÖR ve/veya fuar alanı sorumluları devreye girecek
ve söz konusu unsurları FUAR alanı dışına çıkaracaktır. Fuar alanında hareketli motorlu balon ve/veya zeplin kullanımı yasaktır.
3.16. Temizlik: ORGANİZATÖR, FUAR alanı genel ve koridor temizliğinden sorumludur. Stand içi temizlik MÜŞTERİ’ye aittir.
Ancak ekstra malzemeler listesinde belirtilmesi ve Online Bilgi Sistemi’nde talep edilmesi halinde stand içi temizliği (sadece
yerlerin, halı ise elektrikli süpürge ile silinebilir bir kaplama ise silinmesi) belirtilen ücret karşılığı ORGANİZATÖR tarafından
verilir. Müşteri, fuar bittiğinde stand alanını fuar girişinde teslim aldığı hali ile hiçbir inşaat artığı bırakılmamış şekilde teslim
etmelidir. Aksi takdirde alanın temizlenmesi sırasında oluşacak masrafları ayrıca bir tespit, ihtar ve ihbara gerek kalmaksızın
organizatörün kendisine bildirdiği rakam üzerinden ödemekle yükümlü olacaktır.
3.17. Denetim: MÜŞTERİ, ORGANİZATÖR veya temsilcilerinin her zaman FUARA katılıma ilişkin kayıtları, standı, sergilenen mal
ve hizmetler ile MÜŞTERİ’nin FUARA yönelik diğer faaliyetlerini denetleme, iş bu Sözleşmeye uygunluğunu kontrol etme hakkı
olduğunu kabul eder. MÜŞTERİ bu kapsamdaki erişim ve denetimler için ORGANİZATÖR’e veya yetkilendirdiği kişiye gereken
kolaylığı sağlayacaktır.
3.18. Sağlık ve Emniyet: MÜŞTERİ, bu Sözleşme kapsamında fuar mahallerinde çalışırken veya FUAR süresince çalışanlarına
ve ziyaretçilere sağlıklı ve emniyetli bir iş ortamı sağlamakla sorumlu olacaktır. MÜŞTERİ, kendi personelinin, taşeronlarının,
ORGANİZATÖR personelinin ve üçüncü şahısların sağlık ve emniyetlerini, FUAR süresince yürütülen çalışmalardan kaynaklanan
tehlikelere karşı koruyacaktır. MÜŞTERİ, asgari sağlık ve emniyet koşullarına uyacak, tüm kazaları, yaralanmaları ve tehlikeleri
derhal ORGANİZATÖR’e rapor edecektir. MÜŞTERİ, bu Sözleşme koşullarına, mevzuata ve FUAR alanı kurallarına uymama
nedenleriyle gerek kendi personeline karşı gerekse ORGANİZATÖR personeli ya da 3. Şahısların mal ve canına karşı meydana
gelebilecek zararlardan kendisinin sorumlu olduğunu kabul ve taahhüt eder.
3.19. Mevzuata Uygunluk:MÜŞTERİ, kendi sergileyeceği ürünlerin, kullanacağı malzemenin, çevre ve insan sağlığıyla ilgili
mevzuata, idari düzenlemelere aykırı olmayacağını kabul ve taahhüt etmiştir. Katılımcı, bu Sözleşme kapsamında Fuardan
yararlanırken her türlü mevzuata ve idari düzenlemelere uygun davranmayı da taahhüt etmiştir.
4.ORGANİZATÖR TAAHHÜTLERİNİN GEÇERLİLİĞİ
ORGANİZATÖR tarafından verilecek hizmetlerin belirtilen son başvuru tarihinden sonra talep edilmesi, “Online Bilgi
Sistemi”ndeki ilgili formların eksiksiz olarak doldurulup gönderilmemesi veya onay alınamaması durumunda ORGANİZATÖR’ün
bu talepleri gerçekleştirme konusunda garantisi ve herhangi bir sorumluluğu yoktur. ORGANİZATÖR tarafından gönderilecek
“Online Bilgi Sistemi”nde bulunan ilgili formların MÜŞTERİ tarafından eksiksiz olarak doldurulup, onayladıktan sonra
verilen süreler içerisinde ORGANİZATÖR’e gönderilmelidir. Eksik, geç veya gönderilmemiş formlardan doğacak sorunlardan
ORGANİZATÖR sorumlu değildir. Verilen süre dâhilinde yapılmayan hizmet taleplerinin yerine getirilmesi durumunda, söz
konusu hizmet bedeli olarak, duyurulan normal bedelin üzerine cezai şart olarak %50 fiyat farkı uygulanır. Fuar alanında verilen
hizmetlerle ilgili olarak fuar tarihleri içerisinde yazılı itiraz yapılmazsa hizmet alınmış kabul edilir. MÜŞTERİ, sözkonusu hizmet
faturasını ödemekle yükümlüdür. Fuar kataloğuna bilgi girişi için ilan edilen son gönderi tarihine kadar bilgi göndermeyen
katılımcılar için, katalog sayfasına fuar katılım sözleşmesinde bulunan iletişim bilgileri yerleştirilecektir. ORGANİZATÖR
tarafından verilecek hizmetler ile ilgili ödemelerin fuar öncesinde gerçekleştirilmesi gerekmektedir. Aksi durumda talep edilen
hizmetler verilmeyecektir.
5.MALİ HÜKÜMLER
5.1. Fuar Katılım Ücreti: MÜŞTERİ, Sözleşme ve FUARA katılım karşılığında bu Sözleşmenin ekinde yer alan “A2 Ödeme Koşulları”
bölümünde yazılı toplam tutarı Fuar Katılım Bedeli olarak ORGANİZATÖR’e ödeyecektir. Fuar katılım/kira ücreti için 1m2 birim
alan olarak alınmıştır. Stand alanının birim kira fiyatı 225 Euro/ m2+ VAT’ dir.. Fuar birim fiyatı çıplak alanda kiralanmış olan
standsız alanı ifade eder. Fuar katılım ücreti/kirası için 3 farklı model söz konusudur. Seçenekler ve MÜŞTERİ’nin seçmiş olduğu
stand alanı A2 Ödeme Koşulları ekinde ayrıca gösterilmiştir.
- Paket 1; 235 Euro / m2 + VAT Boş alan kiralama
- Paket 2; 265 Euro / m2 + VAT, Paket 1’e ilave olarak, Stand yapımı, alın yazısının yazılması, halı, kurulan stand alanından bağımsız
olmak üzere 3kW elektrik kullanımını sağlayan 3’lü priz, 3m2’ye 100 Watt’lık spot ve spotların yanması için gereken elektrik
enerjisi (3kW monofaze, 220 V, 50Hz. 3’lü priz)
- Paket 3; 285 Euro /m2 + VAT Paket 2’ye ilave olarak, kurulan stand alanından bağımsız olmak üzere; 3 adet sandalye, 1 adet
masa, 1m x 1m boyutlarında kapısı olan depo.
5.2. Üst Kat Kullanımı: Organizatörün onayına tabi olarak, MÜŞTERİ’nin standın üst katını kullanması halinde üst kat kullanım
bedeli ayrıca alınacak olup metrekare birim fiyatı A2 Ödeme Koşulları ekinde yazılıdır. MÜŞTERİ, üst kat kullanımına bağlı olarak
A2 Ödeme Koşullarında belirtilen tutarı üst kat kullanım bedeli olarak ödemeyi beyan ve kabul etmiştir. Belirtilen tutarlarda
KDV ilave edilir.
5.3. Fuar Katılım Ücretine Dâhil Hizmetler:
a. Standların m2’lerinin ve yerlerinin belirlenmesi (Boş Alan)
b. Fuarın tanıtılması ve duyurulması
c. Fuar genel güvenliğinin sağlanması
d. Afişlerin, fuar kataloğunun hazırlanması ve tanıtım broşürlerinin basımı ve dağıtımı
e. Genel temizlik hizmetlerinin sağlanması (stand içi temizliği müşteriye aittir)
5.4. Diğer Hizmetlerin Bedeli: Söz konusu olabilecek diğer hizmetlerin bedelleri hizmet ile ilgili formlarda bulunmaktadır.
MÜŞTERİ, Fuar Katılım Ücreti dışında satın aldığı veya yararlandığı Diğer Hizmetlere Dair ücretleri iş bu Sözleşmede veya diğer
hizmetlere dair formlarda veya faturasında belirtilen koşullarda ödemeyi beyan ve kabul etmiştir.
5.5. Fatura: Fuar Katılım Bedeli, Fuar Katılım Bedeli, A2 Ödeme Koşulları bölümünde yazılı taksit planına uygun olarak belirtilen
tarih ve tutarlarda fatura edilecek ve yine bu sözleşmeye ek A2 Ödeme Koşullarında yazılı vadelerde/taksitlerde ORGANİZATÖR’e
ödenecektir. Fiyatlara KDV eklenecektir.
5.6. Ödeme: Fuar Katılım Bedeli ile Diğer Hizmetlerin Bedeli, MÜŞTERİ tarafından yine A2 Ödeme Koşulları Bölümünde
yazılı miktar ve vadelerde ORGANİZATÖR’e ödenecektir. MÜŞTERİ burada yazılı koşullara uymayı beyan ve kabul eder.
ORGANİZATÖR’ün fatura tarihi ile ödeme tarihleri arasında oluşacak kur farklarını MÜŞTERİ’den talep hakkı saklıdır. Ödemeler,
A2 Ödeme Koşullarında yazılı banka hesap numaralarına yapılacaktır. Bu Sözleşme ve eklerinde belirlenen ödemeler A2 Ödeme
Koşullarında yazılı vadelerde yapılmadığı takdirde ORGANİZATÖR’ün gecikilen süre üzerinden aylık %3 gecikme faizi talep
etme hakkı doğar. Temerrüt halinde ORGANİZATÖR aynen ifayı talep edebileceği gibi tercih hakkı kendisine bağlı olarak bu
sözleşmeden doğan her türlü alacak ve talep haklarını saklı tutarak tek taraflı olarak Sözleşmeyi haklı nedenle feshedebilir veya
Sözleşmeyi askıya alabilir. Ödemelerinin tamamını yapmamış ya da fuara katılmamış katılımcıların stand alanlarının tasarrufu
tamamen ORGANİZATÖR’e aittir.
5.7. İade Olmaması: MÜŞTERİ’nin mücbir sebep halleri dışında, FUARA kısmen ya da tamamen katılması ya da Sözleşmeden
doğan hakları kısmen veya tamamen kullanmaması Sözleşmede yazılı Fuar Katılım Bedelinin iadesini veya bedelde indirim
yapılmasını gerektirmez.
5.8. Muacceliyet: Fuar Katılım Bedelinin taksitler halinde ödenecek olması halinde MÜŞTERİ’nin herhangi bir taksiti vadesinde
ya da tamamen ödememesi halinde kalan tüm Fuar Katılım Bedeli, başkaca bir uyarı yapılmaksızın ya da sure tanınmaksızın
kendiliğinden muaccel olur. ORGANİZATÖR’ün muaccel olan bu bedeli tercih hakkı kendisinde olarak Sözleşmeyi haklı nedenle
feshetmeden veya Sözleşmeyi haklı nedenle feshederek feshe bağlı cezai şart olarak talep etme hakkına sahiptir. MÜŞTERİ’nin
fuar katılım bedellerini ödemede temerrüde düşmesi halinde ORGANİZATÖR, ayrıca bir uyarıda bulunmaksızın MÜŞTERİ’ ye
tahsis edilen stand alanını tek taraflı olarak değiştirme ve MÜŞTERİ’ ye dilediği koşullarda ve daha once tahsis edilen alanın
teknik koşullarından bağımsız olarak yeni bir alan tahsis etme hakkına sahiptir. MÜŞTERİ, temerrüdünün bir sonucu olarak
ORGANİZATÖR’ün alanı değiştirme ve yeni bir alan tahsis etme hakkı bulunduğunu, temerrüdüne konu fuar katılım bedeli
tutarında sorumluluğu devam etmek koşuluyla, verilecek yeni alanı kabul etmiş sayılacağını önceden beyan ve kabul etmiştir.
5.9. Gecikme Faizi: MÜŞTERİ, bu Sözleşmede yazılı taahhütlerini kısmen veya tamamen ihlal etmesi veya borç ve taahhütlerini
süresinde veya eksiksiz olarak yerine getirmemesi durumunda temerrüde düşmüş sayılacaktır. Taraflar, temerrüt süresine bağlı
olarak aylık %3 gecikme fazii ödenmesini karşılıklı olarak kararlaştırmışlardır. .
5.10. Sonuç Olarak Ortaya Çıkan Zararlar: ORGANİZATÖR, MÜŞTERİ’ye fuarla ilgili olarak ziyaretçi sayısı veya ciro veya kazançla
ilgili olarak doğrudan veya dolaylı olarak herhangi bir taahhütte bulunmamıştır. MÜŞTERİ bu Sözleşme kapsamında; kar kaybı
gibi sonuç olarak ortaya çıkan zararlardan, netice zararlarından veya dolaylı zararlardan dolayı ORGANİZATÖR’e karşı talepte
bulunma hakkına sahip olmayacaktır.
5.11. İlan, Reklam Vergisi: MÜŞTERİ’ ye ait Fuar Alanında ya da standda kullanılan her türlü ilan, reklam, tabela, afiş, yazı, resim,
katalog, broşür vb. nin her hangi bir şekilde kullanımı nedeniyle mevzuat uyarınca doğmuş ya da doğacak her türlü vergi,
harç, fon ve diğer mali yükümlülüklerden MÜŞTERİ sorumludur. MÜŞTERİ, bu Sözleşme koşullarına ve mali yükümlülüklere
uymamama nedeniyle ORGANİZATÖR nezdinde doğabilecek tüm mali, hukuki ve cezai sorumluluğun kendisine ait olduğunu
kabul ve taahhüt eder.
6.NEDENSİZ FESİH HAKKI VE DEĞİŞİKLİKLER:
6.1. Müşteri’nin Tek Taraflı Nedensiz Fesih Hakkı:
a.MÜŞTERİ’nin bu sözleşmeyi tek taraflı fesih hakkı bulunmamaktadır. MÜŞTERİ’ye sadece aşağıda istisnai halde tek taraflı
olarak 6.1. Müşteri’nin Tek Taraflı Nedensiz Fesih Hakkı:
a.MÜŞTERİ’nin bu sözleşmeyi tek taraflı fesih hakkı bulunmamaktadır. MÜŞTERİ’ye sadece aşağıda istisnai halde tek taraflı
olarak sözleşmeyi sona erdirme hakkı tanınmıştır. ORGANİZATÖR’ün kabulüne bağlı istisnalar dışında, Fuara katılmayı, cayma,
vazgeçme vb. biçimlerde tek taraflı fesih suretiyle bu Sözleşmeyi sona erdiren ve/veya katılmayan MÜŞTERİ ayrıca bir ihtara
gerek kalmaksızın Sözleşmenin 5.maddesinde belirtilen fuar katılım ücretinin tümünü cezai şart olarak ödemeyi peşinen kabul
ve taahhüt etmiştir.
b.MÜŞTERİ, Sözleşmenin imzalanmasına müteakip 15 gün içinde FUARA katılmaktan vazgeçer ve aynı süre içinde bunu
ORGANİZATÖR’e yazılı olarak bildirirse Sözleşme feshedilmiş olacak ve MÜŞTERİ’nin fuar katılım bedeli ödeme yükümlülüğü
olmayacaktır. Ancak bu Sözleşme FUAR’ın düzenlendiği tarihten önceki 15 gün içinde imzalanmış ise, MÜŞTERİ bu maddede
belirtilen hakkı kullanamaz. ORGANİZATÖR, bu hakkını Fuardan 10 gün öncesine kadar kullanmak koşuluyla, hiçbir sebep

3.12. Entry and Exit of Goods: No entry and exit is allowed for goods without the authorization of the ORGANIZER during the
hours when the fair is open. The participant may not evacuate the booth before the fair is over and has to make at least 1 booth
official available at the booth area
3.13. Use of Power: The CUSTOMER is liable to inform the ORGANIZER as to the quantity of power (in kW) to be consumed
throughout the FAIR through the “Online Information System”. The booth power shall be disconnected half an hour later after the
time of exit for visitors. Any person who intends to work after such hour should receive authorization from the ORGANIZER. The
ORGANIZER is not responsible for any damages to arise due to power failures. A general power cut takes place half an hour after
the closing time of the FAIR on the last day of the FAIR for security purposes. The cost of 1 kW power to be used is Euro 30 + VAT for
the CUSTOMER. Such price includes allocation of power cables for the booth and the consumed power.
3.14. Organization of Cocktails and Similar Events: Throughout the FAIR period, services at the FAIR area, such as cocktails and
catering services shall be provided by the official catering company of the fair area. Otherwise, the ORGANIZER is entitled to allow
or not allow such services
3.15. Use of Inflammable – Combustible Materials: It is absolutely prohibited to bring and use LPG, welding tubes, advertising
balloons and similar inflammables and combustibles on the FAIR area. Otherwise, the ORGANIZER and/or officials of the fair
area shall intervene and shall remove such elements outside the FAIR area. It is forbidden to use portable engine-driven balloon
and/or zeppelins.
3.16. Cleaning: The ORGANIZER is responsible for general and corridor cleanliness in the FAIR area. The CUSTOMER is responsible
for the booth cleanliness. However, if specified in the list of extra materials and if demanded in the Online Information System,
booth cleaning (only floors and if covered by a carpet, vacuuming the carpet and wiping if the cover can be wiped) services can
be provided by the ORGANIZER for a specified fee. The CUSTOMER should deliver the booth area in the condition taken over
when entering the fair and without leaving any constructional wastes. Otherwise, the CUSTOMER shall be obliged to pay any
expenses to arise when cleaning the area by the amount as communicated by the ORGANIZER with no need for any additional
survey, notice and warning.
3.17. Audit: The CUSTOMER hereby agrees that the ORGANIZER is always entitled to audit the ORGANIZER or the representatives
thereof with respect to the records regarding participating in the FAIR, the booth, the goods and services exhibited and the other
activities of the CUSTOMER relating to the FAIR as well as to audit the compliance thereof with this Agreement. The CUSTOMER
shall provide necessary facilitation for the ORGANIZER or the person designated by the ORGANIZER for the access and audits
within this scope.
3.18. Health and Safety: The CUSTOMER shall be responsible for ensuring a healthy and safe work atmosphere for the visitors
and the employees of the CUSTOMER while working at the fair area within the scope of this Agreement or throughout the FAIR
period. The CUSTOMER shall safeguard health and safety of his own personnel and subcontractors of the CUSTOMER as well as
the personnel of the ORGANIZER and third parties against the hazards arising out of the work performed throughout the FAIR. The
CUSTOMER shall observe any minimum requirements of health and safety and shall immediately report any accidents, injuries
and hazards to the ORGANIZER. The CUSTOMER hereby agrees and undertakes to be responsible for any damages to arise out of
the failure to observe the conditions of this Contract, legislation and the rules of the FAIR area with respect to the property or
physical integrity of own personnel of the CUSTOMER and the ORGANIZER or any third persons.
3.19. Compliance with the Legislation: The CUSTOMER agrees and undertakes that the products to be exhibited and the materials
to be used by the CUSTOMER shall not contradict with the legislation on environmental and human health and administrative
regulations. While benefiting from the Fair within the scope of this Agreement, the participant hereby undertakes to observe any
legislation and administrative regulations.
4.VALIDITY OF THE COMMITMENTS OF THE ORGANIZER
If any service to be provided by the ORGANIZER is demanded after the deadline for applications, if the relevant forms in the
“Online Information System” are not completed and sent in full or if no approval is received, then the ORGANIZER has no
guarantee and responsibility to meet any such demands. The relevant forms found in the “Online Information System” to be sent
by the ORGANIZER should be completed and approved by the CUSTOMER in full and should be sent to the ORGANIZER within
due time. The ORGANIZER is not responsible for any forms that are incomplete, that are sent late or not sent at all. If a demand
for a service, which is not made within due time, is met, then a 50% price difference shall be applied as the penal condition in
addition to the normal price announced as the price of such service. With respect to the services provided at the fair area, the
service is considered as received if no written objection is filed within due time. The CUSTOMER is required to pay the invoice for
such service. For the participants who fail to send information by the announced deadline for information to be contained in the
fair catalog, contact information given in the fair participation agreement shall be included on the catalog page. The payments
relating to the services to be provided by the ORGANIZER must be made before the fair. Otherwise, the demanded services shall
not be provided.
5.FINANCIAL PROVISIONS
5.1. Fair Participation Fee: The CUSTOMER shall pay the total amount for participation in the FAIR given in the Agreement and
in part “A2 Terms of Payment” as attached to this Agreement, to the ORGANIZER as Fair Participation Fee. The fair participation/
rent fee is taken for a unit area of 1 square meter. The unit rent price of the booth area is Euro 225 / square meter + KDV. The unit
price for the fair represents the leased unequipped area, without the booth. There are 3 different models for the fair participation
price/rent. The options and the booth area picked by the CUSTOMER are also shown as attached to the A2 Terms of Payment.
- Package 1; Euro 235 / square meter + VAT: Renting an unoccupied area
- Package 2; Euro 265 Euro / square meter + VAT: Package 1 + booth setup, printing the front sign, carpet, the three-pin plug
allowing use of 3 kW power as independently from the booth area established, 100 Watt spotlights for every 3 square meter and
the power necessary to light them (3 kW monophase, 220 V, 50 Hz. 3 pin plug)
- Package 3; Euro 285 / square meter + VAT: Package 2 + 3 chairs, 1 table, and a storage area with dimensions of 1 m x 1 m as
independently from the established booth area.
5.2. Use of Upper Floor: Subject to the approval of the Organizer, use of upper floor shall be charged separately if the CUSTOMER
uses the upper floor of the booth, and the unit prices per square meter are given in the annex A2 Terms of Payment. The
CUSTOMER hereby agrees and declares to pay the amount provided for in A2 Terms of Payment depending on the use of the upper
floor. VAT shall be added in the specified amounts.
5.3. Services included in Fair Participation Fee:
a. Determining the m2 and locations for the booths (Unoccupied Area)
b. Introduction and announcement of the fair
c. Ensuring general security for the fair
d. Preparing posters and fair catalog and printing and handing out promotional brochures
e. Providing general cleaning services (cleaning inside the booth is the responsibility of the CUSTOMER)
5.4. Charges of Other Services: The charges for other services that might be in question are given in the relevant forms. The
CUSTOMER hereby agrees and declares to pay for the other services that the CUSTOMER purchases or benefits from under
the conditions as specified in this Agreement or forms relating to other services or in the respective invoice besides the Fair
Participation Fee.
5.5. Invoice: Fair Participation Fee shall be invoiced on the dates and in the amounts as specified in the payment schedule provided
for in A2 Terms of Payment and shall be paid to the ORGANIZER by the times/installments as provided for in A2 Terms of Payment
as attached to this agreement. VAT shall be added on the prices.
5.6. Payment: Fair Participation Fee and the Charges for Other Services shall be paid by the CUSTOMER to the ORGANIZER by the
amounts and on the dates as provided for in A2 Terms of Payment. The CUSTOMER hereby agrees and declares to abide by the
conditions provided herein. The right of the CUSTOMER to demand any exchange rate differences to arise between the date of
the ORGANIZER’S invoice and the dates of payment shall be reserved. The payments shall be made to the bank account numbers
as provided for in A2 Terms of Payment. If the payments provided for in this Agreement and annexes hereto are not made on
due dates, then the ORGANIZER shall be entitled to demand a default interest of 3% per month for the default period. In case of
default, the ORGANIZER may duly exercise such right or may terminate the Agreement unilaterally on fair grounds by reserving
any rights and demands arising out of the Agreement subject to the sole discretion of the ORGANIZER only or may suspend the
Agreement. The ORGANIZER shall have sole discretion over the booth areas for the participants, who have not made all their
payments or who have not participated in the fair.
5.7. No Return: Except for the force majeure cases of the CUSTOMER, participation in the FAIR, partially or fully, or failure to exercise
the rights arising out of the Agreement, partially or fully, does not necessitate return of, or discount in, the Fair Participation Fee
given in the Agreement.
5.8. Exclusivity: If the Fair Participation Fee will be paid in installments and in case the CUSTOMER fails to pay any installment in
due time or in full, then the entire remaining Fair Participation Fee shall become due and payable with no need for any further
warning or any need to grant any period. The ORGANIZER is entitled to exercise such amount due and payable without terminating
the Agreement on justified grounds or by terminating the Agreement on justified grounds and demanding such amount as the
penal condition. If the CUSTOMER fails to pay fair participation fees, then the ORGANIZER is entitled to unilaterally change the
booth area allocated to the CUSTOMER without serving any further warnings and to allocate a new area for the CUSTOMER
subject to any conditions as deemed desirable and as independently from the technical conditions of the area allocated before.
The CUSTOMER hereby agrees and declares that, as a result of such default, the ORGANIZER is entitled to change the area and to
allocate a new area, and that the CUSTOMER shall be considered as having agreed with the new area to be designated, provided
that the CUSTOMER will continue to be liable for the fair participation fee subject to the default.
5.9. Default Interest: The CUSTOMER shall be considered in default if the CUSTOMER violates any commitments herein, partially
or fully, or fails to duly fulfill any debts and liabilities in due time and in full. The parties mutually agree that a default interest of
3% per month shall be payable, depending on the default period.
5.10. Consequential Damages: The ORGANIZER has not provided any commitments to the CUSTOMER directly or indirectly
regarding the number of visitors or turnover or any income. The CUSTOMER shall not be entitled to make any claim against the
ORGANIZER for any losses arising out of any outcome such as profit loss, and any resulting losses or indirect losses under the
scope of this contract.
5.11. Announcement, Advertisement Tax: The CUSTOMER shall be responsible for any taxes, levies, funds and other financial
liabilities arising or to arise for any use of any announcements, advertising, signs, posters, lettering, photos, catalogs, brochures,
etc. of the CUSTOMER used at the Fair Area or in the booth under the applicable legislation. The CUSTOMER hereby agrees and
undertakes to be responsible for any financial, legal and penal responsibility that may arise before the ORGANIZER due to the
failure of the CUSTOMER to comply with the conditions of this Agreement and financial liabilities.
6.RIGHT OF TERMINATION WITHOUT JUSTIFIED GROUNDS AND AMENDMENTS:
6.1. The Right of the Customer to Unilaterally Terminate without Justified Grounds:
a.The CUSTOMER is not entitled to terminate this Agreement unilaterally. The CUSTOMER is only allowed to terminate the
Agreement unilaterally subject to the following exceptional cases. Except for the exceptions subject to the agreement of the
ORGANIZER, the CUSTOMER agrees and undertakes in advance to pay the entire fair participation fee specified in article 5 of the
Agreement as a penal obligation with no need for any further notices in case the CUSTOMER terminates this Agreement and/or
fails to participate in the Fair through unilateral termination of this Agreement by withdrawal, abandoning, etc.
b.If the CUSTOMER decides not to participate in the FAIR within 15 days following the signing of the Agreement and informs the
ORGANIZER in writing within the same period, then the Agreement shall be terminated and the CUSTOMER shall no longer be
liable to pay the fair participation fee. However, if this Agreement is signed within the 15 days prior to the FAIR organization date,
then the CUSTOMER may not exercise the right given in this article. The ORGANIZER may terminate the Agreement unilaterally
through service of a written notice without having to specify any reason, and may exclude the CUSTOMER from the Fair, provided
that the ORGANIZER is to exercise such right by not later than 10 days in advance of the Fair. In this case, the ORGANIZER returns
the Fair participation fee to the CUSTOMER within 1 week following the date of termination/exclusion. The CUSTOMER herewith

APPLICATION FORM
göstermeksizin yazılı bildirimde bulunarak Sözleşmeyi tek taraflı olarak feshedebilir ve MÜŞTERİ’yi Fuardan çıkarabilir. Bu
durumda ORGANİZATÖR Fuar katılım bedelini fesih/çıkarma bildiriminden itibaren 1 hafta içinde MÜŞTERİ’ye iade eder.
Sözleşmenin bu şekilde feshi ve Fuardan çıkarma durumunda MÜŞTERİ, fuar katılım bedelinden başka, masraf, gecikme faizi ya
da zarar ziyan adıyla bir talepte bulunma hakkına sahip olmadığını önceden beyan ve kabul eder.
6.2. Değişiklikler ve Hakların Korunması:
a. MÜŞTERİ, ORGANİZATÖR’ün, Fuarın yeri, genel yerleşim projesi/planı, müşterinin fuar alanındaki yerini, stand alanını,
düzenleme tarihleri, ismi ve benzeri konularda, resmi makamların istekleri, sektörün talebi, ekonomik durum, organizasyon
şartları veya yalnızca kendi takdiri ile değişiklik yapma hakkına sahip olduğunu önceden beyan ve kabul etmiştir. ORGANİZATÖR,
FUAR alanında genel yerleşimde ya da MÜŞTERİ’nin fuar alanındaki yerinde gerek gördüğü her türlü değişikliği yapabilir. Burada
belirtilen değişiklikler MÜŞTERİ için fesih sebebi olarak kabul edilemez ve Fuar bedelini ödememe ya da indirim gerekçesi olarak
ileri sürülemez.
b. ORGANİZATÖR tarafından Türkiye genelinde yayımlanan gazeteye verilecek ilan ve/veya ORGANİZATÖR Web Sitesinde
yapılacak duyuru MÜŞTERİ’ye bildirim yerine geçer. MÜŞTERİ bu Sözleşmeyi, fuar yer ve tarihinde değişiklik olabileceğini bilerek
imzalamakta ve böyle bir değişikliğe itiraz hakkı olmadığını kabul etmektedir.
MÜŞTERİ değişikliğin bildirilmesinin ardından 2 (iki) hafta içinde yazılı olarak itiraz etmediği sürece Sözleşme yeni tarih ve süre
için geçerliliğini sürdürür.
c. ORGANİZATÖR, bu sözleşmenin imzalanmış ve sözleşme gereklerinin ifa edilmiş olmasına rağmen fuar standartlarına ve
ORGANİZATÖR tarafından tespit edilmiş MÜŞTERİ profiline uygunsuzluk veya MÜŞTERİ ile ilgili adli veya idari bir hukuki bir
işlem yapılması vb. nedenlerle katılımcıyı red hakkına sahiptir. ORGANİZATÖR’ün bu hakkını kullanması halinde, MÜŞTERİ’nin
yaptığı tüm ödemeler iade edilir. Sözleşme imzalanmasına rağmen bu madde gereğince fuara kabul edilmeyen MÜŞTERİ zarar,
ziyan vb. nam altında ORGANİZATÖR’den tazminat talebinde bulunmaya hakkı olmadığını kabul ve taahhüt eder.
d. Fuarın katılımcı açısından ticari başarısı, fuarda ticari bağlantılar sağlanması ve fuara gelecek ziyaretçi konularında
ORGANİZATÖR’ün hiçbir taahhüt ve sorumluluğu olmadığı gibi, ORGANİZATÖR MÜŞTERİ’ye fuar nedeniyle hiçbir kazanç veya
gelir taahhüdünde bulunmamaktadır.
7.MÜCBİR SEBEP:
Taraflar, FUAR’ın düzenlenmesine ya da MÜŞTERİ’nin FUAR’a katılmasına engel teşkil eden deprem, yangın, savaş, terör
olayı, sosyal ve toplumsal olay, olağanüstü hal ve benzeri olağan ve olağanüstü sebepler, Fuar sahibi veya işleticisinden
kaynaklanan sorunlar ile resmi makam veya yetkili mercilerin işin yapılmasını doğrudan veya dolaylı engelleyici ve geciktirici
kararlarını, işlemlerini mücbir sebep veya haklı sebep hali olarak kabul etmişlerdir. Mücbir sebep hallerinden birinin oluşması
halinde etkilenen taraf diğer tarafı mücbir sebebin oluştuğu tarihten itibaren en geç 3 (üç) gün içerisinde yazı ile haberdar
edecektir. ORGANİZATÖR ve bu madde de yazılı koşullara bağlı olarak MÜŞTERİ, mücbir sebebin çıkmasına müteakip 30 gün
geçtikten sonra Sözleşme’yi feshetmek veya mücbir sebebin ortadan kalkmasına kadar beklemek hakkına sahip olacaklardır.
ORGANİZATÖR’ün, mücbir sebebin ortaya çıkmasına müteakip 30 gün içinde FUAR yerini ve zamanını/tarihini değiştirme
hakkı saklıdır. MÜŞTERİ yapılacak değişiklere uyacağını önceden kabul etmiştir. MÜŞTERİ’nin mücbir sebebe bağlı fesih hakkını
kullanması, ORGANİZATÖR’ün bu madde de yazılı sürede FUAR yerini ve zamanını değiştirme hakkını kullanmamış olması
koşuluna bağlıdır.
ORGANİZATÖR tarafından Türkiye genelinde yayımlanan gazeteye verilecek ilan ve/veya ORGANİZATÖR Web Sitesinde
yapılacak duyuru MÜŞTERİ’ye bildirim yerine geçer. MÜŞTERİ bu Sözleşmeyi, fuar yer ve tarihinde değişiklik olabileceğini bilerek
imzalamakta ve böyle bir değişikliğe itiraz hakkı olmadığını kabul etmektedir
8.SÜRE VE HAKLI NEDENLE FESİH
Sözleşme, Sözleşmenin taraflarınca imzalandığı tarihte ve en geç son imza tarihi itibariyle yürürlüğe girecek ve Tarafların
her biri açısından; borçların tümüyle ve noksansız olarak yerine getirileceği tarihe kadar yürürlükte kalacak; borçların
tümüyle ve noksansız olarak yerine getirildiği tarihte sona erecektir. Taraflar, aşağıdaki nedenlerin ortaya çıkması halinde
ORGANİZATÖR’ün yazılı olarak ihtar edeceği tek taraflı beyanla Sözleşmeyi haklı nedenle fesih hakkı bulunduğu kabul
etmişlerdir. ORGANİZATÖR, Sözleşme’yi haklı nedenle feshetmesi halinde Sözleşmede yazılı bedellerin tamamına cezai şart
olarak hak kazanır. ORGANİZATÖR’ün Sözleşmenin haklı nedenle feshinden doğan zarar ve ziyanını ayrıca talep etme hakkına
sahiptir. ORGANİZATÖR’ün haklı fesih nedeniyle mahkemeye başvurması ya da MÜŞTERİ’nin bu Sözleşme’den doğmuş ve
doğacak ödeme yükümlülüklerini zamanında, tam veya kısmen yerine getirmemesi halinde ortaya çıkacak zararladan ve
icra-yargılama giderleri ile avukatlık ücretlerinden MÜŞTERİ sorumludur. ORGANİZATÖR’ün bu hakkını kullanmaması hakkını
kullanmaktan vazgeçtiği, fuar bedelini veya cezai şartı veya Sözleşmeden doğan sair haklarını talep etme hakkından vazgeçtiği
veya MÜŞTERİ’nin davranışına onay verdiği anlamına gelmez.
a.MÜŞTERİ, Fuar Katılım Bedeli veya Diğer Hizmet Bedelleri Ödeme Yükümlülüğünü ihlal ederse,
b.ORGANİZATÖR, MÜŞTERİ’nin kusuru nedeniyle herhangi bir zarara maruz kalır veya MÜŞTERİ, bu sözleşme konusu
yükümlülükleri yerine getirirken herhangi bir nedenden dolayı üçüncü şahıslara zarar verirse,
c.MÜŞTERİ, hakkında iflas kararı alınır, iflasının ertelenmesi talebinde bulunur ya da iflasının ertelenmesine karar verilirse, acze
düşer veya konkordatoya başvurursa,
d.Belirtilen özel taahhütlerin ihlalleri dışında Sözleşmenin MÜŞTERİ tarafından başka nedenlerle kısmen ya da tamamen
ihlal edilmesi, yükümlülüklerin, taahhütlerin yerine getirilmemesi ve gönderilen yazılı uyarıya rağmen 7 gün içinde bu ihlal
durumuna son verilmemesi halinde
9.ÇEŞİTLİ HÜKÜMLER:
9.1. Devir: MÜŞTERİ, ORGANİZATÖR’ün önceden yazılı muvafakatını almaksızın bu Sözleşme kapsamındaki yükümlülüklerini,
hak ve alacaklarını tamamen veya kısmen üçüncü şahıslara devir ve temlik edemez. Standı, kendisine tahsis edilen alanı
bir başkasına devredemez, kiralayamaz, kullandıramaz. Bu tür devir ve temlikler ORGANİZATÖR’e karşı hüküm doğurmaz.
ORGANİZATÖR bu Sözleşmeyi ve Sözleşmeden doğan hak ve yükümlülüklerini kısmen veya tamamen bütün hukuk ve vecibeleri
ile birlikte kendi sermaye iştiraki olan kuruluş, firma ve şirketler ile üçüncü şahıslara devretmek hakkını haizdir.
9.2. Değişiklikler ve Sözleşmenin Bütünü: Bu Sözleşme ve varsa ekleri hükümlerinde her türlü değişiklik ancak yazılı ek
sözleşmelerle yapılabilir. Bu Sözleşme, ORGANİZATÖR ile MÜŞTERİ arasındaki sözleşmenin bütününü oluşturur ve yazılı veya
sözlü olarak taraflar arasında bu konuya ilişkin daha önce yapılmış tüm görüşmelerin, temsillerin ve anlaşmaların yerini alır.
9.3. Hakların Kullanılması: Sözleşmeden doğan herhangi bir hakkın süresi içinde kullanılmamış olması, o haktan feragat
edildiği anlamına gelmez.
9.4. Diğer Katılımcılar/Eş Katılımcılar:Birden fazla firma tarafından stand alanının paylaşılması, ve/veya alt katılımcı olarak var
olan bir katılımcının standında alan kullanılması ve/veya eş katılımcı veya ilave katılımcıların dahil edilmesi ORGANİZATÖR’ün
iznine tabidir. Katılımcının kendinden başka bir firma ile stand alanını paylaşması, başvuru formlarında belirtilmesi koşuluyla
sadece ORGANİZATÖR’ün yazılı onayı ile yapılabilir. Bu durumda aşağıdaki koşullar uygulanacaktır:
a. Kendi personeli olan ve katılımcı ya da organizatör tarafından kiralanan bir stand alanı kullanan herhangi bir firma “eş
katılımcı” olarak kaydedilmelidir;
b. Bir katılımcı tarafından sadece broşürleri veya benzer yayınları değil, ürünleri/hizmetleri sunulan herhangi bir firma, ilgili
etkinlik için uygun olması durumunda “ilave katılımcı” olarak kaydedilmelidir. Bu tür katılımcılar fuar kataloğunda listelenmez.
Katılımcı Koşulları: Fuara eş katılımcıların ve ilave katılımcıların dahil olması ücrete tabidir. Eş katılımcılar aynı zamanda bu
Katılımcı Koşulları’nın şartlarına tabidir. Ana katılımcı eş katılımcılarını ve/veya ilave katılımcıları bu konularda ve her türlü
ilave hususta bilgilendirmekten sorumludur. ORGANİZATÖR, katılımcı ile özellikle ortam listelerinin işlenmesi ve yönetilmesi
konusunda irtibat kurmak için üçüncü bir taraf görevlendirme hakkını saklı tutmaktadır. Eğer çok sayıda firma ortak ana
katılımcı olarak birlikte bir stand kiralamak isterse, başvurularında ortak bir temsilci yetkilendireceklerdir. Her türlü etkinlikte,
katılımcıların her birinin sergilerini görüntülemesi ve stand için personel istihdam etmesi gereklidir. Ortak ana katılımcılar
katılımcı ücretinden ve kullanılan her türlü hizmet ücretinden ortak ve ayrı ayrı sorumludur. Bir katılımcı, fuar standı için
üçüncü bir kişiyi/temsilciyi görevlendirebilir. Temsilci, fuar ile ilgili herhangi bir konuda veya bütün konularda katılımcı, eş
katılımcı ve ilave katılımcılar tarafından ORGANİZATÖR’e yazılı olarak bildirilmek suretiyle yetkilendirilebilir. Bundan sonra,
stand onaylaması, hizmetler, teknik mevzuatlar vs gibi fuarla bağlantılı bütün belgeler bu yetkili temsilciye gönderilecektir.
9.5. Ekler: Ekler Sözleşmenin ayrılmaz parçası olup, bu Sözleşme A1, A2, A3, A4, A5, A6 ve Eş/İlave Katılımcı Talep Onay formu ve
Teknik Şartname ile beraber bir bütündür.
9.6. Uygulanacak Hukuk ve Sorunların Halli: Bu Sözleşmeden ve Sözleşmenin sona ermesinden doğan ihtilaflar da (Türk)
hukuku uygulanacaktır. Taraflar İstanbul (Merkez) Mahkemelerinin ve Merkez icra dairelerinin münhasır yetkisini kabul eder.
9.7. Tebligat: Bu sözleşme ile ilgili tüm uyarılar Tarafların Sözleşmede yazılı bulunan adreslerine yapılır. Bu adreslere yapılan
tebligatın yetkisiz kişilerce tebellüğ edildiği iddia edilemez ve tebellüğ edilmese dahi geçerli tebligatın hukuki sonuçlarını
doğurur. Taraflar adres değişikliklerini birbirlerine yazılı olarak bildireceğini, bildirmedikleri takdirde bu sözleşmede bildirilen
adrese gönderilen tebligatların geçerli tebligatla aynı hukuki sonuçları doğuracağını kabul ve taahhüt eder.
9.8. Kesin Delil Anlaşması: Anlaşmazlık halinde, ORGANİZATÖR’ün tutmuş olduğu resmi, özel her türlü kayıt, belge, doküman ve
bilgisayar kayıtları anlaşmazlığın çözümünde kesin delil teşkil eder.
9.9. Vergiler: Bu Sözleşme ve eklerinin nedeniyle doğmuş ve doğacak damga vergisi, harç, fon vs. mali yükümlülüklerden
MÜŞTERİ sorumlu olacaktır. Damga vergisi MÜŞTERİ tarafından ödenecektir.
9.10. Suret: Tek suret olarak düzenlenen bu Sözleşme karşılıklı olarak imzalanarak teati edilmiştir ve düzenlenen bu sözleşme
ORGANİZATÖR tarafından muhafaza edilecektir.
9.11. KOSGEB Desteği: KOSGEB (Küçük ve Orta Ölçekli Sanayi Geliştirme ve Destekleme İdaresi Başkanlığı) FUAR’a katılan ve
imalatçı konumunda olan küçük ve orta ölçekli firmaları desteklemektedir. Detaylar için www.kosgeb.gov.tr web sitesini ziyaret

agrees and declares in advance that, in case of termination of the Agreement in this manner and exclusion from Fair, the
CUSTOMER is not entitled to any claims, such as expenses, default interest or losses and damages besides the fair participation
fee.
6.2. Changes and Protection of the Rights:
a. The CUSTOMER hereby agrees and declares in advance that the ORGANIZER is entitled to make any changes at the location
and general layout project/plan of the Fair, the position of the CUSTOMER inside the Fair Area, booth area, dates and name of
the Fair and to similar matters in parallel with the requests of the competent authorities, the demands of the sector, economic
situation, the conditions of the organization or subject to the sole discretion of the ORGANIZER only. The ORGANIZER may make
any changes in the general layout at the FAIR area or in the position of the CUSTOMER at the fair area. The changes specified
herein may not be accepted as the grounds for termination for the CUSTOMER and may not be an excuse not to pay the fair
fees or for a discount on such fees.
b. The announcement to be made by the ORGANIZER in a newspaper published throughout Turkey in general and/or the
announcement to be published on the website of the ORGANIZER shall be considered as a notification to the CUSTOMER. The
CUSTOMER signs this Agreement knowing that there might be a change in the dates and place of the Fair and hereby agrees
that the CUSTOMER is not entitled to object to any such changes.
Unless the CUSTOMER serves a written objection within 2 (two) weeks following the announcement of the change, then the
Agreement shall remain valid for the new date and period.
c.The ORGANIZER is entitled to refuse the participant due to any noncompliance with the fair standards and the customer
portfolio as determined by the ORGANIZER or due to any judicial or administrative legal action is filed against the CUSTOMER
although this Agreement is signed and the requirements hereof are duly fulfilled. If the ORGANIZER exercises such right, any
payments made by the CUSTOMER shall be returned. The CUSTOMER hereby agrees and undertakes that if the CUSTOMER is
not admitted to the Fair under this article although this Agreement is signed, then the CUSTOMER shall not be entitled to any
claims for indemnification from the ORGANIZER for any losses and damages, etc.
d. The ORGANIZER assumes no responsibility and makes no commitments with respect to commercial success of the Fair for
the participant, for establishing business contacts at the fair and the number of visitors to visit the fair, and the ORGANIZER
makes no commitment of any income or earnings to the CUSTOMER regarding the fair.
7.FORCE MAJEURE:
The Parties accept the cases of earthquake, fire, war, acts of terrorism, social happenings, extraordinary circumstances and
similar ordinary and extraordinary reasons, problems arising out of the owner or operator of the Fair, which prevent the
FAIR from being organized or the CUSTOMER from participating in the FAIR, or any actions and decisions of the competent
authorities or official authorities, which directly or indirectly prevent and delay the business to take place, as the force
majeure cases or cases of justified grounds. In the event of a force majeure case, then the affected party shall inform the other
party within not later than 3 (three) days following the occurrence date of the force majeure case. The ORGANIZER and the
CUSTOMER, subject to the conditions provided in this article, shall be entitled to terminate the Agreement within not later
than 30 days following the occurrence of the force majeure case or to wait until the force majeure case ceases to exist. The
ORGANIZER is entitled to change the location and time/date of the FAIR within 30 days following the occurrence of the force
majeure case. The CUSTOMER hereby agrees in advance to observe any changes to be made. The CUSTOMER’s exercise of the
right of termination due to force majeure depends on the ORGANIZER not having exercised the right to change the time and
place of the FAIR within the period as provided for in this article.
Any announcements to be made by the ORGANIZER in a newspaper published throughout Turkey and/or any announcements
to be posted on the website of the ORGANIZER shall be considered as a notification to the CUSTOMER. The CUSTOMER signs
this Agreement knowing that there might be a change in the time and place of the fair and agrees that the CUSTOMER is not
entitled to object to any such change.
8.PERIOD AND TERMINATION ON JUSTIFIED GROUNDS
The Agreement shall enter into force when it is signed by the Parties to the Agreement or by the deadline for signing at the
latest and shall remain in force for each Party until and unless each such Party duly and completely fulfills their liabilities
hereunder and shall expire on the date when the liabilities are fulfilled completely and entirely. The parties agree that the
ORGANIZER is entitled to terminate the Agreement on justified grounds by a unilateral notice to be served by the ORGANIZER in
any of the cases below. If the ORGANIZER terminates the Agreement on justified grounds, then the ORGANIZER shall be entitled
to all of the amounts specified in the Agreement as penal condition. The right of the ORGANIZER to claim losses and damages
arising out of the justified termination of the Agreement shall also be reserved. The CUSTOMER is responsible for any expenses
of collection procedures or legal expenses and the attorney’s fees if the ORGANIZER applies to the court for justified grounds or
if the CUSTOMER fails to fulfill payment liabilities arising and to arise out of this Agreement in a timely manner, partially or fully.
Waiver of the ORGANIZER from such right does not imply that the ORGANIZER waives from the right to demand fair amount or
penal condition or any other rights arising out of this Agreement or consents to the actions of the CUSTOMER.
a.If the CUSTOMER fails to pay the Fair Participation Fee or any other Services Fees,
b.If the ORGANIZER suffers any damage due to the default of the CUSTOMER or if the CUSTOMER damages any third party
property for any reason whatsoever when fulfilling the liabilities hereunder,
c.If a ruling for bankruptcy is made against the CUSTOMER, if the CUSTOMER asks for the postponement of the ruling for
bankruptcy or if a ruling is made for the postponement of the ruling for bankruptcy, if the CUSTOMER becomes insolvent or
applies for a composition with the creditors,
d.Other than the violation of any commitments provided herein specifically, partial or full violation of the Agreement by the
CUSTOMER, failure to fulfill the liabilities and commitments and failure to correct such violation within 7 days despite the
written notice sent.
9.MISCELLANEOUS PROVISIONS:
9.1. Assignment: The CUSTOMER may not assign and transfer his liabilities, rights and receivables hereunder to any third party,
partially or fully, without the prior written consent of the ORGANIZER. He may not transfer, lease the booth and any area
reserved for the CUSTOMER to others and may not allow others to use the same. Any such transfers and assigns shall not be
valid before the ORGANIZER.
The ORGANIZER is entitled to transfer this contract and his rights and liabilities under this contract to its affiliate or any
organization, company or third party, fully or partially, together with all his legal consequences and obligations.
9.2. Amendments and the Entire Agreement:Any changes in the provisions of this Agreement and annexes thereof, if any, may
only be made with written supplementary contracts. This Agreement constitutes the entire agreement between the Customer
and the ORGANIZER and supersedes any prior negotiations, representations and understandings between the parties with
respect to the subject matter hereof, whether oral or in writing.
9.3. Waiver: Not exercising any of the rights arising out of the Agreement within due period shall not be deemed as waiver
of these rights.
9.4. Other Participants/Co-participants: Multiple firms sharing the same booth area and/or the use of an area in a participant’s
booth as a sub-participant and/or inclusion of co-participants or additional participants shall be subject to the authorization
of the ORGANIZER. The participant may share the booth area with another firm, only subject to the written approval of the
ORGANIZER and provided that it will be specified in the application forms. The following conditions shall apply in such case:
a. A firm with its own staff, using booth area rented by a participant or the organizer, should be noted as a “co-participant”;
b. Any firm, whose products/services are offered by a participant, not only brochures and similar publications are offered,
should be noted as an “additional participant” if such firm qualifies for the relevant event. Such participants are not listed
in the fair catalog.
Conditions for Participants: Inclusion of co-participants and additional participants into the fair shall be subject to charge.
The co-participants are also subject to these Conditions for Participants. The main participant is responsible for informing its
co-participants and/or additional participants in these respects and about any additional matters. The ORGANIZER reserves the
right to designate a third party in order to contact the participant especially in order to process and manage the ambiance lists.
If many firms intend to rent a booth with the same main participant, then they shall authorize a joint representative in their
applications. In any kind of event, each participant must display its own exhibition and employ staff for the booth. The joint
main participants are jointly and severally responsible for the participation fee and the fees for any services benefited from. A
participant may designate a third party/representative for the fair booth. The representative may be authorized in any and all
matters relating to the fair upon being notified to the ORGANIZER in writing by the participant, co-participant and additional
participants. Thereafter, any documents relating to the fair such as approval of the booth, services and technical legislation, etc.
shall be sent to such authorized representative.
9.5. Annexes: The annexes are an integral part of this Agreement, and this Agreement is a whole with Annexes A1, A2, A3, A4,
A5, A6 and Demand Approval Form for Co-/Additional Participants and Technical Specifications.
9.6. Governing Law and Settlement of Disputes: Any dispute that may arise out of this Agreement and the termination hereof
shall be subject to the (Turkish) Law. The parties agree and accept the exclusive jurisdiction of Istanbul (Central) courts and
Central execution offices.
9.7. Notices: Any notices relating to this Agreement shall be served to the addresses of the parties provided herein. Any notices
served to such addresses may not be claimed to have been served to unauthorized persons and shall yield the outcomes of
a notice served in a legally valid way. The parties hereby agree and undertake that they will inform each other about any
changes to the address, and that, otherwise the notices sent to the address as communicated herein shall yield the same legal
consequences with a valid notice.
9.8. Final Evidence Agreement: In case of any disputes, any official, private records, documents, papers and computer records
maintained by the ORGANIZER shall constitute final evidence in the settlement of the dispute.
9.9. Taxes: The CUSTOMER shall be responsible for any financial liabilities such as stamp duty, fees, funds, etc. arising and to
arise out of this Agreement and annexes hereto. The stamp duty shall be paid by the CUSTOMER.
9.10. Counterparts: This Agreement issued in a single copy is mutually signed and agreed and this agreement issued shall be
kept by the ORGANIZER.
9.11. KOSGEB Support: KOSGEB (Small and Medium Enterprises Development Organization) supports the small and medium
